Job Description

About the role

As our firm continues to grow, we are strengthening our Legal, Compliance and Corporate Services team. This is a dual role covering two equally important areas: (1) regulatory compliance — KYC and Customer Due Diligence at onboarding and on an ongoing basis; and (2) corporate services for our CSP client portfolio — company incorporations with the Malta Business Registry (MBR), share transfers, changes to company officers and other corporate matters.

You will report to the Compliance Officer (MLRO) and the Partners. You will be trained on our dedicated KYC software and receive in-house and external training to stay current with AML, CSP and company law developments.

Main tasks and responsibilities

  • Compliance — KYC, CDD and AML

    • Gathering, reviewing and verifying KYC / CDD documentation for prospective and existing clients — companies, individuals, trusts and foundations

    • Identifying and verifying ultimate beneficial owners (UBOs), controllers and authorised signatories, including complex multi-layer structures

    • Carrying out PEP, sanctions and adverse media screening, and escalating potential matches

    • Preparing customer risk assessments and applying simplified or enhanced due diligence as appropriate

    • Obtaining and assessing source of wealth and source of funds information

    • Ensuring a smooth, compliant onboarding process, including face-to-face client meetings as required

    • Creating and maintaining client profiles in the firm’s KYC software, and carrying out periodic reviews and ongoing monitoring

    • Conducting CDD / KYC procedures for migration-related applications

    • Assisting the Compliance Officer / MLRO with the firm’s compliance program, policies and procedures, internal records and regulatory returns to the MFSA and FIAU

  • Corporate services — company secretarial and MBR

    • Registering new companies with the MBR — drafting Memorandum and Articles of Association, preparing incorporation documents and liaising with clients and the bank on share capital deposits

    • Handling share transfers end-to-end — preparing share transfer documentation, board and shareholder approvals, filings with the MBR, duty declarations with the Commissioner for Revenue, and updating the register of members

    • Processing changes in directors, company secretary, legal representation and registered office, and filing the relevant MBR forms

    • Processing changes in share capital (increases, reductions, allotments) and amendments to the Memorandum and Articles of Association

    • Preparing and filing Annual Returns and Beneficial Ownership (BO) declarations, and keeping BO information up to date

    • Drafting board and shareholder resolutions, minutes, notices of general meetings and other corporate documents

    • Maintaining statutory registers and corporate files, and monitoring statutory deadlines for the CSP client portfolio

    • Assisting with company re-domiciliation, mergers, dissolutions, liquidations and striking-off procedures

    • Supporting clients with bank account openings, changes to bank mandates and authorised signatories

    • Acting as liaison with the MBR, Commissioner for Revenue, banks, notaries, lawyers and other service providers

Requirements

  • Minimum 1–2 years’ experience in a similar role within a corporate service provider, law firm, accounting firm, bank or similar in Malta or the EU

  • Proven experience in BOTH compliance (KYC / CDD) and corporate services — in particular company incorporations, share transfers and MBR filings

  • Good working knowledge of the Companies Act (Cap. 386) and MBR procedures and forms

  • Knowledge of the PMLFTR, FIAU implementing procedures and AML concepts, including beneficial ownership and CDD for legal entities

  • Familiarity with the Company Service Providers Act and MFSA CSP rules is an advantage

  • Highly organised and accurate, with strong attention to detail and the ability to manage multiple files and deadlines

  • Able to work independently, follow up on tasks and work reliably under minimal supervision

  • Patient, with strong interpersonal and client-facing skills

  • Excellent command of English, written and spoken (Maltese and other languages an asset)

  • Proficient in MS Office; experience with KYC / screening software (e.g. World-Check) is a plus

  • A degree or diploma in Law, Accounting, Business or Compliance, or AML / company secretarial certifications (e.g. ICA, CGI), is a plus
