About Swivel Gaming

Swivel Gaming is a B2B technology group building the platform layer for a set of fast-moving digital verticals, all managed from a single unified back office. We work with operators, suppliers, aggregators and affiliates across multiple jurisdictions, and the commercial agreements behind those relationships are central to how we grow.

The Role

Two halves. The first is drafting: you own the commercial contracts that run through the business. You will not lead negotiations — our commercial team does that — but you give them the right paper to negotiate from and turn agreed terms into solid documents quickly.

The second is proactive management. Across corporate and employment documentation, you take ownership of the full lifecycle and working closely with our external legal and CSP partners in multiple jurisdictions to ensure: adapting documents as needed, then getting them issued, signed, registered and filed without being prompted. This is an ownership role, not a review desk.

You will work directly with the CEO and senior commercial team.

Key Responsibilities

Commercial contracts — core focus

Draft and review the full range of commercial agreements: licensing, supply and aggregation, reseller and white-label, introducer and referral, affiliate terms, MNDAs, SLAs and DPAs
Support the commercial team through negotiations with clear positions and fallbacks, then document agreed terms accurately and fast
Maintain a contract register and flag renewal and notice deadlines before they bite

Due diligence and KYC — lead responsibility

Own client and supplier due diligence end to end: define what we need, review it, recommend whether to proceed
Keep onboarding moving and maintain audit-ready files

Corporate documentation

Manage shareholder agreements, term sheets, share transfers and issues, director changes, loan agreements etc — adapting as each transaction requires and driving them to full execution
Coordinate with our corporate service provider on filings and statutory records, and keep the corporate register and structure chart current

Employment and contractor paperwork

Ensure every employment and contractor agreement is issued, signed, registered and filed, with a complete record of who is engaged and on what terms
Instruct external employment counsel where specialist advice is needed — we are hiring a commercial lawyer, not an employment specialist

Wider support

First point of contact for legal queries across the business, and manager of external counsel where specialist or foreign-law advice is required

What We're Looking For

Essential

Qualified lawyer, admitted to practise in Malta
Minimum 5 years' post-qualification experience
Hands-on experience drafting commercial contracts from scratch, not solely reviewing or marking up
Working knowledge of Maltese corporate and company law procedure
Excellent written and spoken English
Commercially pragmatic: a clear recommendation, not a list of risks
